By submitting this application, Contractor agrees to the following terms and conditions:
1. Indemnification
Contractor shall indemnify, defend, and hold harmless PropZombie, its owners, officers, agents, employees, successors, and assigns (collectively, "PropZombie Parties") from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) Contractor's work, services, or business operations; (b) any act or omission of Contractor or Contractor's employees, agents, or subcontractors; (c) any breach of this Agreement; or (d) any violation of applicable law by Contractor.
2. Independent Contractor Status
Contractor acknowledges and agrees that Contractor is an independent contractor and NOT an employee, agent, partner, or joint venturer of PropZombie. No employer-employee, agency, partnership, or joint venture relationship is created by this Agreement or by the use of PropZombie's platform. Contractor is solely responsible for all taxes, insurance, and benefits related to Contractor's work.
3. Liability Release
Contractor hereby releases the PropZombie Parties from any and all liability arising from or related to: (a) any injury sustained by Contractor, Contractor's employees, or agents on any job site or property; (b) any property damage occurring during the performance of services; (c) any dispute with subscribers, property owners, or third parties; (d) any payment dispute, non-payment, or delayed payment by any party; (e) any defect in Contractor's workmanship or materials; and (f) any loss of business, income, or opportunity resulting from use of or removal from PropZombie's platform.
4. Insurance and Licensing
Contractor represents and warrants that Contractor maintains all required licenses, permits, certifications, and insurance coverages (including but not limited to general liability, workers' compensation, and professional liability where required by law) for the trade services offered in the State of Texas. Contractor shall provide proof of insurance upon request and shall maintain continuous coverage while using PropZombie's platform.
5. Platform Role
Contractor acknowledges that PropZombie operates as a marketplace and matching platform only. PropZombie does not supervise, direct, control, or manage Contractor's work. PropZombie does not guarantee the quality, safety, or legality of any work performed by Contractor. All service arrangements are made directly between Contractor and the subscriber.
6. No Guarantees
PropZombie does not guarantee any minimum volume of work, specific earnings, frequency of job invitations, or continued access to the platform. PropZombie makes no representations about the accuracy of subscriber information, job descriptions, or property conditions.
7. Termination of Access
PropZombie reserves the right to suspend or remove any vendor from the platform at any time, for any reason or no reason, without notice or liability. Contractor has no right to continued platform access and waives any claim arising from removal or suspension.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from this Agreement shall be resolved in the courts of the State of Texas.
9. Entire Agreement
Contractor acknowledges that this Agreement constitutes the entire agreement between Contractor and PropZombie regarding the subject matter hereof and supersedes all prior discussions, representations, or agreements.
